Acceptance of Terms
By accessing and using our services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
Use License
Permission is granted to temporarily download one copy of the materials on our website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title.
Service Description
CrowSmart provides business formation and management services, including:
- Business Formation: LLC, S-Corporation, C-Corporation, and Nonprofit formation services
- Registered Agent Services: Legal correspondence address and document handling
- State Compliance Services: Annual report filing and compliance monitoring
- Domain Registration: Business domain name registration and management
- Document Management: Secure storage and access to business documents
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICES WILL OPERATE WITHOUT INTERRUPTION, ERROR, OR INCIDENT, OR THAT FORMATION DOCUMENTS WILL BE APPROVED BY ANY STATE AGENCY. FORMATION PROCESSING TIMES DEPEND ON STATE AGENCIES AND ARE OUTSIDE OUR CONTROL.
User Responsibilities
You are responsible for safeguarding your account credentials, including your password and any two-factor authentication secrets, and for keeping them confidential. You must not share your credentials with any other person, and you agree to notify us promptly at support@crowsmart.com if you suspect any unauthorized access to or use of your account. You are solely responsible for all activity that occurs under your account, whether or not authorized by you, and you agree that we may rely on any instruction, order, or action submitted through your account as genuinely authorized by you. You also agree to use the services in compliance with all applicable laws and regulations, not to submit information on behalf of any person or entity without their authorization, and not to use the services to engage in fraud, misrepresentation, or any illegal activity.
Your Content
You retain all ownership rights in the documents, information, and other materials you upload to or generate through our services (your "User Content"). By using our services, you grant CrowSmart a limited, non-exclusive, royalty-free, worldwide license to host, store, process, transmit, and display your User Content solely to deliver our services to you, fulfill your orders with state agencies and service partners, and comply with applicable law. You represent and warrant that you have all rights necessary to upload your User Content and that your User Content does not violate any law or infringe any third-party rights. This license ends when you delete the content or your account, except to the extent we must retain copies to comply with legal obligations.
Payment Terms
Our pricing structure includes:
- One-Time Formation Fees: Business formation service fee ($199) plus applicable state filing fees
- Recurring Subscriptions: Registered Agent and State Compliance services are billed monthly or annually in advance
- Domain Registration: Annual domain registration fees
All payments are processed securely through Stripe. Subscription fees are non-refundable for partial billing periods. You may cancel recurring subscriptions at any time, and cancellation will take effect at the end of the current billing period. Formation service fees are non-refundable once your order has been submitted to our formation partner, except in cases where CrowSmart makes a data-entry or filing error on our end that causes the filing to be submitted incorrectly. In that case, you are entitled to a full refund of the formation service fee only.
State filing fees, registered agent fees, state compliance fees, EIN service fees, domain registration fees, and any other add-on or bundled services are separately priced and are not covered by the formation refund. State filing fees are non-refundable once submitted to the state. Registered agent and state compliance subscriptions may be cancelled as described above. A rejection by the Secretary of State due to name conflict, incorrect information you provided, or any cause outside of CrowSmart's data-entry or filing process does not qualify as an incorrect filing by CrowSmart.
Chargebacks. Filing a chargeback, payment dispute, or reversal through your card issuer or bank after your order has been submitted and fulfilled (including formation documents filed with a state agency, domain registered with a registrar, EIN submitted to the IRS, or any subscription service delivered) may result in immediate suspension or termination of your account, retraction or transfer of any assets still under our control (including domain names registered on your behalf), and assessment of a chargeback handling fee of $35 per incident. We reserve the right to pursue collection of fees reversed through chargeback, including through legal action, and to dispute chargebacks we believe are unwarranted by submitting evidence of services delivered. We strongly encourage you to contact us at support@crowsmart.com before filing a chargeback. We will work with you to resolve any legitimate billing concern.
Third-Party Services
We partner with licensed third-party service providers to deliver our services:
- Formation Partners: Our licensed business formation partners process your formation orders and file with state agencies. By using our formation services, you agree to their processing of your business information.
- Stripe: Payment processing is handled by Stripe. Your payment information is subject to Stripe's terms and privacy policy.
- Domain Partners: Domain registration services are provided through our domain registration partners.
We act as an intermediary platform connecting you with these service providers. While we strive to ensure quality service, we are not responsible for delays, errors, or issues caused by third-party providers.
Service Limitations
Important: CrowSmart is a business formation platform, not a law firm. We do not provide legal, tax, or financial advice.
- We facilitate business formation through our licensed partners
- Formation processing times vary by state and are outside our control
- We cannot guarantee approval of your business name or formation
- You are responsible for ensuring compliance with all applicable laws and regulations
- We recommend consulting with qualified legal, tax, and financial professionals for advice specific to your situation
Intellectual Property
The content, features, and functionality of our services are owned by us and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Limitation of Liability
In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.
Force Majeure
CrowSmart shall not be liable for any delay or failure to perform its obligations under these Terms to the extent caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, civil unrest, labor disputes, cyberattacks, failures of the public internet, government actions, court orders, regulatory changes, closures or processing delays of Secretary of State offices or other government agencies, or service interruptions of third-party providers (including our formation filing partners, payment processors, cloud providers, or domain registrars). During any such event, performance will be suspended for the duration of the event without penalty.
Termination
We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Governing Law
These Terms shall be interpreted and governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions. You agree that any dispute arising out of or relating to these Terms or the services shall be brought exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of such courts.
Miscellaneous
Severability. If any provision of these Terms is held to be invalid, unenforceable, or void by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.
Entire Agreement. These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and CrowSmart regarding the services and supersede all prior or contemporaneous understandings, agreements, representations, and communications, whether written or oral, relating to the services.
No Waiver. Our failure to enforce any right or provision of these Terms on any occasion shall not be considered a waiver of that right or provision or of any other right or provision on that or any other occasion. Any waiver must be in writing and signed by an authorized representative of CrowSmart to be effective.
Assignment. You may not assign, delegate, or transfer these Terms or any rights or obligations under them, in whole or in part, without our prior written consent, and any attempted assignment without such consent will be void. CrowSmart may assign these Terms at any time without notice to you, including in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
